Terms of Service

1. Acceptance of Terms

By accessing or using SignZA (“the Service”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service. These terms apply to all users, including visitors, registered users, and any other parties who access the Service. Your continued use of SignZA after any changes to these terms constitutes your acceptance of the revised terms.

2. Service Description

SignZA provides electronic signature and document management services that enable users to send, sign, and manage documents digitally. Documents signed via SignZA are legally valid and enforceable under the Electronic Communications and Transactions (ECT) Act 25 of 2002 of the Republic of South Africa. SignZA provides advanced electronic signatures as defined under applicable South African law. The Service is designed for use by individuals and businesses operating within or transacting with parties in South Africa, though it is accessible globally. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

To access the full features of SignZA, you must register for an account. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You must be at least 18 years of age to create an account and use the Service. Only one account is permitted per individual; creating multiple accounts to circumvent usage limits or restrictions is prohibited. You agree to notify us immediately at support@signza.app if you suspect any unauthorised access to or use of your account. SignZA will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree to use SignZA only for lawful purposes and in a manner consistent with these Terms. The following uses are strictly prohibited: uploading or transmitting fraudulent, forged, or misleading documents; using the Service to facilitate any illegal activity or to violate any applicable law or regulation; impersonating any person or entity, or misrepresenting your affiliation with any person or entity; uploading documents containing malware, viruses, or any other harmful code; attempting to gain unauthorised access to any portion of the Service or its related systems; and using the Service to harass, abuse, or harm another person. We reserve the right to suspend or terminate accounts found to be in violation of this policy and to report such activity to relevant authorities.

5. Payment & Billing

Paid plans are billed on a monthly basis via Paystack, our designated payment processor. All amounts are quoted in South African Rand (ZAR) and are inclusive of applicable VAT unless otherwise stated. By subscribing to a paid plan, you authorise SignZA to charge your designated payment method on a recurring monthly basis. You may cancel your subscription at any time through your account settings; cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that date. No refunds are provided for partial months or unused credits. If a payment fails, we will attempt to retry the charge and may suspend your account until the outstanding balance is settled.

6. Intellectual Property

SignZA and its underlying technology, software, design, trademarks, and content are the exclusive property of Grey Matter Consulting (Pty) Ltd and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose in accordance with these Terms. You retain full ownership of all documents, content, and data you upload to or generate through SignZA. By using the Service, you grant SignZA a limited licence to store, process, and transmit your documents solely as necessary to deliver the Service. You may not copy, modify, distribute, or reverse-engineer any part of the SignZA platform without our express written consent.

7. Limitation of Liability

The Service is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SignZA does not guarantee that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. To the maximum extent permitted by applicable law, Grey Matter Consulting (Pty) Ltd's total liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim. In no event shall SignZA be liable for any indirect, incidental, special, consequential, or punitive damages.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of SignZA shall be subject to the exclusive jurisdiction of the courts located in Cape Town, Western Cape, South Africa. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue there.
